中国林产工业协会章程

第一章 总则

第一条 本协会名称为中国林产工业协会(英文全称 China National Forest Products

Industry Association 缩写为 CNFPIA) 。

第二条 中国林产工业协会是以木材加工、人造板和林产化学工业为主的林产工业企业自愿结合

起来的跨部门、非营利的全国性社会团体法人。

第三条 中国林产工业协会的宗旨是遵守中华人民共和国宪法、法律、法规和国家政策 , 遵守

社会主义道德风尚。忠实维护会员企业的共同利益 , 竭诚为会员企业服务,努力推动全行业的

经济发展和技术进步。

第四条 中国林产工业协会业务主管部门是国家林业局,监督管理部门是国家民政部。协会接受

国家林业局的业务指导和民政部的监督管理。

第五条 中国林产工业协会会址设在北京市。

第二章 业务范围

第六条 中国林产工业协会发挥桥梁、纽带作用 , 积极协助政府有关部门做好行业企业的组织

、协调、指导、交流和服务工作 , 其主要业务范围是 :

( 一 ) 组织企业制定本行业的《行规行约》 , 以建立行业自律机制 , 规范企业行为 , 促进

企业平等竞争 , 提高行业整体素质 , 维护会员企业的合法权益。

(二)向会员企业宣传和贯彻国家政策 , 并向政府反映企业的意见和合理要求,为行业发展创

造条件。

( 三 ) 协助政府有关部门进行本行业的管理工作 , 参与制定、修改本行业各类标准。组织行

业标准的贯彻实施 , 推进行业质量管理工作。

( 四 ) 开展对全国林产工业行业调查研究 , 提出行业发展规划建议,为政府制定技术、经济

政策和产业政策提供依据 , 为会员企业经营决策提供服务。

( 五 ) 受政府或有关企业委托对行业内重大的投资、改造和开发项目进行可行性前期论证。

( 六 ) 促进企业跨部门、跨地区、跨所有制的横向经济联合。协调会员企业间的经济合作、技

术合作、产销衔接。

( 七 ) 进行行业内部价格协调。防止行业价格垄断 , 营造企业平等竞争环境 , 维护企业合法利益。

( 八 ) 组织林产工业的新技术、新工艺、新产品和新设备的开发、推广和应用 , 努力推动企业创新,不断开拓技术市场。

( 九 ) 组织国内、国际间林产工业产品展览,不断推出名、优、新产品,促进技术交流、经贸洽谈和技术合作。

(十)开展咨询服务 , 为会员企业提供国内外技术经济情报和市场信息。

( 十一 ) 组织会员企业的技术、管理人才的培训 , 促进会员企业员工素质提高和人才流动。

( 十二 ) 承担政府部门及其它团体委托办理的事项。

( 十三 ) 开展有益于本行业的其他活动。

第三章 会员

第七条 本协会的会员原则上实行单位会员制。

第八条 申请加入本协会的会员 , 必须具备下列条件 :

( 一 ) 拥护本协会的章程。

(二 ) 自愿申请加入本协会。

( 三 ) 依法取得工商登记执照 , 产品质量达到国家或行业技术标准 , 并具有较大生产规模的企业。

(四)在林产工业行业内有较大影响的科研、设计和教学等其他事业单位。

第九条 会员入会的程序是 :

( 一 ) 提交入会申请书;

( 二 ) 常务理事会讨论通过;

(三)由协会秘书处发给会员证书。

第十条 会员享有下列权利 :

(一)在本协会中有选举权、被选举权和表决权 ;

( 二 ) 参加本协会的有关活动;

(三 ) 获得本协会刊物、资料和服务的优先权;

( 四 ) 对本协会工作的批评建议权和监督权;

( 五 ) 入会自愿 , 退会自由。

第十一条 会员履行下列义务 :

(一)遵守本协会章程 , 执行协会决议;

(二)维护本协会合法权益 ;

(三)积极参加协会组织的各项活动 , 完成协会交办的工作 ;

•  按协会规定交纳会费;

( 五 ) 向本协会反映情况 , 提供有关资料;

( 六 ) 遵守共同商定《行规行约》。

第十二条 会员退会应书面通知本协会 , 并交回会员证。

第十三条 会员如果一年内不交纳会费或不参加本协会活动的 , 视为自动退会。

第十四条 会员如有严重违反本章程的行为 , 经常务理事会表决通过 , 予以除名。

第四章 组织机构和负责人的产生、罢免

第十五条 本协会的最高权力机构是会员代表大会 , 会员代表大会的职权是 :

•  制定和修改协会章程 ;

( 二 ) 选举和罢免理事;

(三)审议理事会的工作报告和财务报告;

( 四 ) 决定终止事宜 ;

(五)决定其他重大事宜。

第十六条 会员大会代表大会须有 2/3 以上会员代表出席方能召开 , 其决议须经到会会员代表

半数以上表决通过方能生效。

第十七条 会员代表大会每届五年 , 因特殊情况需提前或延期换届的 , 须由理事会表决通过 ,

报国家林业局审查,并经民政部批准同意。但延期换届时间最长不超过一年。

第十八条 理事会是会员代表大会的执行机构 , 在闭会期间领导本协会开展日常工作 , 对会员

代表大会负责。

第十九条 理事会职权是 :

(一)执行会员代表大会决议;

(二)选举和罢免常务理事 ;

(三)筹备召开会员代表大会;

(四)向会员代表大会报告工作和财务状况;

(五)讨论通过协会内部管理制度和年度工作计划 ;

(六)决定其他重大事项。

第二十条 理事会须有 2/3 以上理事出席方能召开 , 其决议须经到会理事 2/3 以上表决通过

方能生效。

第二十一条 理事会每年至少召开一次会议 , 情况特殊的也可采用通讯形式召开。

第二十二条 本协会设立常务理事会。常务理事会由理事会选举产生 , 在理事会闭会期间行使

第十九条第一、三、六款的职权 , 对理事会负责。

第二十三条 常务理事具有如下权力:

( 一 ) 决定会员的吸收或除名 ;

(二)决定设立办事机构、分支机构、代表机构和实体机构;

(三)决定副秘书长和各分支机构的主要负责人的聘任;

(四)领导本协会各分支机构开展工作。

第二十四条 常务理事会须有 2/3 以上常务理事出席方能召开 , 其决议须经到会常务理事 2/3

以上表决通过方能生效。

第二十五条 常务理事会可不定期召开,情况特殊的也可采用通讯形式召开。

第二十六条 本协会的理事长、副理事长、秘书长必须具备下列条件 :

•  坚持党的路线、方针、政策 , 政治素质好 ;

•  在本协会业务领域内有较大影响;

( 三 ) 理事长、副理事长、秘书长最高任职年龄不超过七十周岁 , 秘书长必须为专职 ;

•  身体健康 , 能坚持正常工作 ;

( 五 ) 未受到剥夺政治权力的刑事处罚的;

( 六 ) 具有完全民事行为能力。

第二十七条 本协会理事长、副理事长、秘书长如超过最高任职年龄的 , 须经理事会表决通过

, 报国家林业局审查,并经民政部批准同意后 , 方能任职。

第二十八条 本协会理事长、副理事长、秘书长任期五年。理事长、副理事长、秘书长任期最长

不得超过两届 , 因特殊情况需延长任期的 , 须经会员代表大会 2/3 以上会员代表表决通过 ,

报国家林业局审查,并经民政部同意之后 , 方可任职。

第二十九条 本协会理事长为本协会法定代表人。如因特殊情况需由副理事长或秘书长担任法定

代表人 , 应报国家林业局审查,并经民政部批准后 , 方可担任。

本协会法定代表人不兼任其他社会团体的法定代表人。

第三十条 本协会理事长行使下列职权 :

(一)召开和主持理事会、常务理事会;

( 二 ) 检查会员代表大会、理事会、常务理事会决议的落实情况;

( 三 ) 代表本协会签署有关重要文件。

第三十一条 本协会秘书长行使下列职权 :

(一)主持办事机构开展日常工作 , 组织实施年度工作计划 ;

( 二 ) 协调各分支机构、代表机构、实体机构开展工作;

( 三) 提名副秘书长以及各办事机构、分支机构、代表机构实体机构主要负责人 , 交常务理

事会讨论决定;

( 四)决定办事机构、代表机构、实体机构专职工作人员的聘用;

( 五 ) 处理其他日常事务。

第五章 资产管理、使用原则

第三十二条 本协会经费来源如下:

(一 ) 会费;

(二)捐赠与赞助;

(三)政府资助;

(四)在核准的业务范围内开展活动或服务的收入;

( 五 ) 利息;

( 六 ) 其他合法收入。

第三十三条 本协会按照国家有关规定收取会费。

第三十四条 本协会经费必须用于本章规定的业务范围和事业的发展 , 不得在会员中分配。

第三十五条 本协会建立严格的财务管理制度 , 保证会计制度合法、真实、准确、完整。

第三十六条 本协会配备具有专业资格的会计人员。会计人员不得兼任出纳。会计人员必须进行

会计核算 , 实行会计监督。会计人员调动工作或离职时 , 必须与接管人员办理交接手续。

第三十七条 本协会的资产管理必须执行国家规定的财务管理制度 , 接受会员代表大会和财政

部门的监督。资产来源属于国家拨款或社会捐赠、资助的 , 必须接受审计机关的监督 , 并将

有关情况以适当方式向社会公布。

第三十八条 本协会换届或更换法定代表人之前必须接受社团管理机关和业务主管单位的财务审

计。

第三十九条 本协会的资产 , 任何单位和个人不得侵占、私分和挪用。

第四十条 本协会专职工作人员的工资和保险、福利待遇 , 参照国家对事业单位的有关规定执

行。

第六章 章程的修改程序

第四十一条 本协会章程的修改 , 须经理事会表决后报会员代表大会审议。

第四十二条 本协会修改的章程 , 须在会员代表大会通过后 15 日内 , 经业务主管单位国家林

业局审查同意 , 并报社团登记机关民政部核准后生效。

第七章 终止程序及终止后的财务处理

第四十三条 本协会完成宗旨或自行解散或由于分立、合并等原因需要注销的 , 由理事会或常

务理事会提出终止动议。

第四十四条 本协会终止动议须经会员代表大会表决通过 , 并报国家林业局审查同意。

第四十五条 本协会终止前 , 须在国家林业局及有关机关指示下成立清算组织 , 清理债权债务

, 处理善后事宜。清理期间 , 不开展清算以外活动。

第四十六条 本协会经社团登记机关民政部办理注销登记手续后即为终止。

第四十七条 本协会终止的剩余财产 , 在业务主管单位国家林业局和社团登记机关民政部的监

督下 , 按照国家有关规定 , 用于发展与本协会宗旨相关的事业。

第八章 附则

第四十八条 本章程经 2000 年 10 月 23 日 会员代表大会通过。

第四十九条 本章程的解释权属于本协会的理事会。

第五十条 本章程自监督管理部门民政部核准之日起生效。

 

STATUTE
OF
CHINA NATIONAL FORSET PRODUCTS INDUSTRY ASSOCIATION (CNFPIA)

Chapter One: General Provisions

Article 1 The name of the Association shall be China National Forest Products Industry Association (CNFPIA)

Article 2 CNFPIA shall be a non-profit national trans-sectoral juridical association founded voluntarily by forest product enterprises dealing mainly with timber processing, wood based panel and forest product chemical industry.

Article 3 Complying with the Constitution, laws, regulations and national policies of the People's Republic of China , and adhering to the socialist morality, the objective of CNFPIA shall be to cordially protect the common interests of member enterprises, to wholeheartedly serve member enterprises, and to make any effort to promote the economic development and technology progress of the whole industry.

Article 4 The competent department for business of CNFPIA shall be the State Forestry Administration of the People's Republic of China, the supervising authority of CNFPIA shall be the Ministry of Civil Affairs of the People's Republic of China. CNFPIA shall accept the business guidance of the State Forestry Administration and the supervision of the Ministry of Civil Affairs.

Article 5 The seat of CNFPIA shall in Beijing.

Chapter Two: Business Scope

Article 6 CNFPIA shall play a role of bridge to assist relevant governmental departments in organizing, coordinating, providing guidance, promoting exchanges and serving the enterprises of the trade. The major business scope of CNFPIA shall be:
•  organizing enterprises to formulate the Guild Regulations, so as to establish self-discipline system of the trade, to normalize enterprises activities, to promote competition on equal basis among enterprises, to increase the overall accomplishment of the trade, and to protect lawful rights and interests of member enterprises;
•  publicizing the national policies to member enterprises, and reporting comments and reasonable requirement of the enterprises to the government in a bid to create favorable condition for the development of the trade;
•  assisting relevant governmental departments in the administration of the trade, participating in the developing and amending of various criteria of the trade, organizing the implementation of the criteria of the trade, and promoting the quality management of the trade;
•  conducting surveys of and researches on the national forest product industry, proposing the development programme of the trade, providing references for the government in formulating technical, economic and industrial policies, and providing services for member enterprises in business policy-making;
•  conducting prophase feasibility study, entrusted by the government or relevant enterprises, to momentous investment, restructuring and development projects within the trade.
•  promoting the trans-sectoral, trans-regional and trans-ownership economic coalition of enterprises; coordinating the economic cooperation, technical collaboration and end-to-end of produce and sale among member enterprises;
•  conducting internal prices coordination of the trade so as to prevent price monopoly, to create fair competition environment for enterprises and to protect the lawful interests of enterprises
•  organizing the development, extension and application of new technology, products and equipments of the forest product industry, endeavoring to promote enterprises innovation, and exploring technical markets;
•  organizing national and international forest product industry exhibition, continuously facilitating the production of famous, high quality and new products, promoting technological exchange, economic and trade discussion, and technical cooperation;
•  conducting consultation for member enterprises in providing both national and international information on technology, economy and market;
•  organizing training for technical and administrative staff of member enterprises, promoting the capacity building of the staff and human resources exchanges of member enterprises;
•  undertaking issues entrusted by governmental departments and other institutions;
•  conducting other activities benefiting the trade.

Chapter Three: Membership

Article 7 The members of the Association shall be, in principle, enterprises.

Article 8 Enterprises applying for admission to the Association shall be qualified as follows:
•  adhering to the Statute of the Association;
•  voluntarily making application;
•  having acquired license of registration from the administration for industry and commerce in accordance with law, the quality of their products achieving the technical standard of the State or the trade and the production scale being relatively large;
•  scientific research and designing institutions, universities having relative great influences in the forest product industry.

Article 9 The procedure for member admission shall be as follows:
•  submitting application;
•  discussion and adoption by the Standing Council;
•  issuing member certificates by the Secretariat of the Association.

Article 10 The members shall have the right:
•  to elect, be elected and vote in the Association;
•  to participate in relevant activities of the Association;
•  to obtain, in priority, publications, material and service of the Association;
•  to propose comments and suggestions to the work of the Association, and to supervise;
•  to voluntarily join and freely withdraw from the membership of the Association.

Article 11 The members shall have the obligation:
•  to abide by the Statute of the Association and carry out the resolution of the Association;
•  to protect the lawful rights and interests and interests of the Association;
•  to actively participate in various activities organized by the Association and fulfill tasks assigned by the Association;
•  to pay membership dues as prescribed in the regulations of the Association;
•  to report and provide to the Association relevant information and materials;
•  to abide by the guild regulation discussed and decided jointly.

Article 12 Any member may withdraw from the membership of the Association by giving notice in writing and shall then return the member certificate.

Article 13 Members fail to pay membership dues or participate in the activities of the Association for one year shall be regarded as withdrawing from the membership of the Association voluntarily.

Article 14 Should any member violate seriously the Statute, it shall be expulsed after adopted by the Standing Council through voting.

Chapter Four: Creation and Dismissal of the Organization and Persons in Charge

Article 15 The Representatives Assembly of Members (hereinafter referred to as “the Assembly”) shall be the highest organ of the Association, the functions of the Assembly shall be:
•  to formulate and amend the Statute of the Association;
•  to review the working report and financial report of the Council;
•  to decide the dissolution of the Association;
•  to decide other important issues.

Article 16 The Assembly shall not convene unless two third of the representatives of members are present. The decision of the Assembly shall not be effective unless it is adopted a simple majority of the votes cast of the representatives of members present.

Article 17 The Assembly shall normally meet in ordinary session every fifth year. The Assembly may be convened ahead of the schedule or be postponed provided that it is:
•  so decided by the council;
•  reported to the State Forestry Administration for review; and
•  approved by the Ministry of Civil Affairs.
The Assembly shall not be postponed for more than one year.

Article 18 The Council shall be the executing organ of the Assembly. It shall lead the Association in day-to-day business between sessions of the Assembly and shall answer for the Assembly.

Article 19 The functions of the Council shall be:
•  to implement the decisions of the Assembly;
•  to elect and dismiss Standing Councilors;
•  to make preparation to the convening of the Assembly;
•  to report to the Assembly the work and financial status of the Association;
•  to discuss internal management system and annual work plan of the Association;
•  to decide other important issues.

Article 20 The Council shall not meet until two third of the Councilors are present. The decisions of the Council shall not be effective until they are adopted by a two-third majority of the votes cast.

Article 21 The Council shall meet at least once a year. Meeting may be convened by telecommunication means if there is such a need in exceptional case.

Article 22 The Association shall establish the Standing Council. The Standing Council shall be elected by the Council, and shall execute the functions as prescribed in clauses 1, 2, and 6 of Article 19. The Standing Council shall answer for the Council.

Article 23 The Standing Council shall have the right:
•  to decide the admission and expulsion of members;
•  to decide the setting up of offices, subordinates, representative bodies and entities;
•  to decide the appointment of the Deputy Secretary Generals and major persons in charge of the subordinates;
•  lead the subordinates of the Association in operation.

Article24 The Standing Council shall not meet until two third of the Standing Councilors are present. The decisions shall not be effective unless adopted by of the Standing Councilors present.

Article 25 The Standing Council could meet aperiodically. Meeting may be convened by telecommunication means if there is such a need in exceptional case.

Article 26 The Chair, Vice Chair and Secretary General of the Council of the Association shall be qualified at:
•  adhering to the line, principle, policy of the Party with high political quality;
•  having relatively great influence to the trade, with which the Association is concerned;
•  being not older than 70 years, and the Secretary General being full time;
•  being in good health condition, and being able to work normally;
•  not being deprived of political rights;
•  being able to fully exercise the civil rights.

Article 27 The Chair, Vice Chair or Secretary General who are older than the maximum age requirement as prescribed in the Statute may be appointed provided it is adopted by the Council, reported to the State Forestry Administration for review and approved by the Ministry of Civil Affairs.

Article 28 Each term of office of the Chair, Vice Chair and Secretary General shall be five years. They shall not hold the same office consecutively for more than two full terms. Their terms of office may extend in exceptional case provided that it is adopted by a two-third majority of the votes cast of the Assembly, reported to the State Forestry Administration for review and approved by the Ministry of Civil Affairs.

Article 29 The Legal Representative of the Association shall be the Chair of the Council of the Association. Should the Legal Representative be represented by the Vice Chair or the Secretary General in exceptional case, a two-third majority of the votes cast of the Assembly shall be required and the appointment shall be reported to the State Forestry Administration for review and approved by the Ministry of Civil Affairs.

The Legal Representative of the Association shall not be appointed as legal representative of other institutions.

Article 30 The Chair shall:
•  convene and preside the meetings of the Council and the meetings of the Standing Council;
•  inspect the implementation of the decisions of the Assembly, the Council and the Standing Council;
•  sign important document on behalf of the Association.

Article 31 The Secretary General shall:
•  take charge of the routine work of the office, organize the implementation of the annual work plan;
•  coordinate the work of subordinates, representative bodies and entities;
•  nominate Deputy Secretary Generals and major persons in charge of offices, subordinates, representative bodies and entities for the consideration and decision of the Standing Council;
•  decide the employment of full-time staff of offices, representative bodies and entities;
•  deal with other daily issues.

Chapter 5 Principle of Financial Management

Article 32 The income of the Association shall derive from:
•  membership dues;
•  donation and contribution;
•  government funding;
•  income generated from the activities or services conducted within the approved business scope;
•  deposit interest;
•  other legal income.

Article 33 The Association shall receive membership dues in accordance with relevant regulations of the State.

Article 34 The funding of the Association shall be used for the development of the business and courses as prescribed in the Statute . It shall not be allotted among members.

Article 35 The Association shall establish strict financial management system, and shall ensure the legitimacy, authenticity, accuracy and integrity of the accounting system.

Article 36 The Association shall employ accountant with professional qualification. The accountant shall not be employed as cashier at the same time and shall conduct business accounting and accounting supervision. The accountant shall go through handing-over procedure with his/her successor when he/she is transferred to other post or quit the post.

Article 37 The asset management of the Association shall apply the financial management system stipulated by the government , and shall be supervised by the Assembly and relevant financial departments. The assets derived from the governmental allocation or public contribution and donation shall be supervised by the auditing departments. Relevant information shall be publicized as appropriate.

Article 38 Financial auditing shall be conducted by the civil organization management authority and competent department for business before the change of term of office of the Assembly or the change of the Legal Representative of the Association.

Article 39 The asset of the Association shall not be seized, partitioned and impropriated by any institutions or individuals.

Article 40 The salary, insurance and welfare of the full-time staff of the Association shall be allocated in accordance with the relevant regulations of the State on institutions.

Chapter 6 Amendment of the Statute

Article 41 The amendment to the Statute shall be adopted by the Council before being reported to the Assembly for consideration.

Article 42 The amended Statute shall be effective after it is adopted by the Assembly and submitted to the State Forestry Administration , the competent department of business, for review and approval within 15 days of the adoption of the amendment by the Assembly and reported to the Ministry of Civil Affairs for ratification.

Chapter 7 Dissolution and the Financial Arrangement after the Dissolution

Article 43 Should there is a need to logout the Association due to its fulfillment of objectives, voluntarily dismissal, split or mergence, a motion of dissolution shall be proposed by the Council or the Standing Council.

Article 44 The motion of dissolution of the Association shall be adopted by the Assembly through voting, and be reported to the State Forestry Administration for review and approval.

Article 45 Before the dissolution of the Association, a liquidation group shall be set up under the direction of the State Forestry Administration and relevant departments to liquidate financial claims and liabilities and to deal with arising problems. During the liquidation, no other activities shall be undertaken.

Article 46 The Association shall be dissolved after the procedure of log-out is gone through in the Ministry of Civil Affairs, the authority responsible for civil organization registration.

Article 47 The remnant estate of the Association after the dissolution shall be used to the development of the courses relevant to the objectives of the Association in accordance with relevant regulations of the State under the supervision of the State Forestry Administration, the competent department for business, and the Ministry of Civil Affairs, the authority responsible for civil organization registrations.

Chapter 8 Bylaw

Article 48 The Statute was adopted by the Assembly at its meeting on 23 October, 2000.

Article 49 The right to interpret the Statute shall fall to the Council of the Association.

Article 50 The Statute shall be effective from the date when it is ratified by the Ministry of Civil Affairs, the supervising authority.
